Sponsorship Program Terms

These Sponsorship Program Terms (“Sponsorship Terms”) govern sponsorship opportunities offered by PayablesCentral LLC (“PayablesCentral,” “we,” “us,” or “our”).
These Sponsorship Program Terms supplement the PayablesCentral Terms of Service. If there is any conflict between these Sponsorship Terms and the Terms of Service with respect to a PayablesCentral sponsorship, these Sponsorship Terms control.
By purchasing, accepting, or participating in a PayablesCentral sponsorship opportunity, the sponsor agrees to these Sponsorship Terms and any additional written sponsorship confirmation, invoice, order, or agreement applicable to the sponsorship.
1. Sponsorship Opportunities
PayablesCentral may offer sponsorship opportunities connected to programs, events, educational content, communications, campaigns, launch activities, digital properties, community initiatives, or other PayablesCentral activities.
Available sponsorship packages, pricing, benefits, timing, and availability may vary.
2. Sponsor Approval
All sponsorships are subject to PayablesCentral approval.
PayablesCentral may decline a sponsorship that is inconsistent with our audience, programs, brand, business interests, legal obligations, or applicable policies.
Submission of an inquiry or payment does not by itself guarantee acceptance unless PayablesCentral has expressly confirmed the sponsorship.
3. Sponsorship Benefits
The specific benefits associated with a sponsorship will be described in the applicable sponsorship offer, confirmation, invoice, order, or agreement.
Benefits may include, as applicable:
brand recognition
logo placement
sponsor mentions
links or digital placement
promotional visibility
participation opportunities
event or program visibility
communications
other benefits expressly described by PayablesCentral
Only benefits expressly included in the applicable sponsorship package are guaranteed.
4. Sponsorship Fees
Sponsors are responsible for paying the applicable sponsorship fee according to the payment terms communicated by PayablesCentral.
A sponsorship is not considered secured until all required payment and acceptance requirements have been completed.
Additional services, customization, or benefits requested by a sponsor may require additional fees.
5. Sponsor Materials
Sponsors may be asked to provide logos, company names, website links, descriptions, graphics, promotional copy, or other materials.
The sponsor represents that it has all rights and permissions necessary for PayablesCentral to use submitted materials for the sponsorship.
The sponsor grants PayablesCentral a limited, nonexclusive license to use those materials solely as reasonably necessary to fulfill the sponsorship.
6. PayablesCentral Brand and Content
Sponsors may not use PayablesCentral’s name, logo, trademarks, screenshots, marketing materials, or other intellectual property except as expressly authorized.
Any authorized use must comply with PayablesCentral branding requirements.
Sponsorship does not transfer ownership of PayablesCentral content, audiences, data, intellectual property, programs, or platforms.
7. No Endorsement
Acceptance of a sponsorship does not constitute PayablesCentral’s endorsement, certification, recommendation, or guarantee of the sponsor, its products, or its services.
A sponsor may not state or imply that PayablesCentral endorses or certifies the sponsor unless expressly authorized in writing.
8. Sponsor Conduct
Sponsors must provide accurate, lawful, and nonmisleading information.
PayablesCentral may reject, remove, or require modification of sponsor content that:
is deceptive or misleading
violates applicable law
infringes third-party rights
conflicts with PayablesCentral policies
contains inappropriate or harmful material
could create confusion about the relationship between PayablesCentral and the sponsor
9. Changes to Sponsorship Deliverables
PayablesCentral may make reasonable changes to the timing, format, placement, presentation, or delivery of sponsorship benefits when operationally necessary.
If a material change substantially affects a paid sponsorship benefit, PayablesCentral will work reasonably with the sponsor to provide an appropriate alternative where practicable.
10. Cancellation and Refunds
Any cancellation, refund, rescheduling, or substitution rights stated in the applicable sponsorship offer or agreement will control.
If no separate terms are provided, sponsorship payments are nonrefundable once PayablesCentral has begun performing or reserving sponsorship benefits, except where PayablesCentral determines otherwise or applicable law requires.
If PayablesCentral cancels a sponsorship opportunity before providing the material sponsorship benefits, PayablesCentral may offer, as appropriate:
replacement benefits
sponsorship credit
rescheduling
a refund for the affected portion
11. No Guaranteed Results
Sponsorship provides the benefits expressly described in the applicable sponsorship offer.
PayablesCentral does not guarantee:
impressions
leads
referrals
customers
sales
revenue
conversions
website traffic
audience response
any other commercial result
unless a specific written guarantee is expressly included in the applicable sponsorship agreement.
12. Sponsorship and Referral Program Participation
A sponsor may separately be eligible to participate in the PayablesCentral Referral Partner Program.
Sponsorship does not automatically create Referral Partner status or commission eligibility.
Referral commissions are governed separately by the PayablesCentral Referral Program Terms and any applicable Referral Partner Agreement.
Sponsorship fees and referral commissions are separate transactions unless expressly agreed otherwise in writing.
13. Confidential Information
Either party may receive nonpublic business information in connection with a sponsorship.
Where information is identified as confidential, or should reasonably be understood to be confidential, the receiving party should use reasonable care to protect it and use it only for purposes related to the sponsorship.
This does not apply to information that:
is publicly available through no breach of obligation
was lawfully known before disclosure
is independently developed
is lawfully obtained from another source
Additional confidentiality requirements may be included in a separate agreement.
14. Privacy and Data
Sponsorship does not provide sponsors with unrestricted access to PayablesCentral customer, subscriber, applicant, Referral Partner, or user data.
Personal information will be handled in accordance with the PayablesCentral Privacy Policy and applicable law.
Any sponsor access to information will be limited to what is expressly agreed and legally permitted.
15. Independent Relationship
A sponsorship does not create an employment relationship, partnership, joint venture, agency, franchise, fiduciary relationship, or similar relationship between PayablesCentral and the sponsor.
Neither party may bind the other unless expressly authorized in writing.
16. Taxes
Sponsors are responsible for any taxes applicable to their sponsorship purchase, except taxes imposed on PayablesCentral’s income.
17. Limitation of Liability
To the extent permitted by applicable law, PayablesCentral will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from a sponsorship.
Any additional or different liability provisions contained in a signed Sponsorship Agreement will control to the extent of a conflict.
18. Program Changes
PayablesCentral may modify, discontinue, or introduce sponsorship offerings at any time.
Changes to future sponsorship opportunities do not create an obligation to modify previously confirmed sponsorship packages unless otherwise agreed.
19. Governing Law
These Sponsorship Terms are governed by the laws of the State of New Jersey, without regard to conflict-of-laws principles, unless applicable law requires otherwise.
20. Additional Agreements
PayablesCentral may require a sponsor to accept or sign additional terms, disclosures, payment terms, or a Sponsorship Agreement as a condition of participation.
If a signed agreement conflicts with these Sponsorship Terms, the signed agreement will control to the extent of the conflict.
