Additional terms, orders, statements of work, subscription agreements, or written offers may apply to particular services. If additional written terms conflict with these Terms, the more specific terms control with respect to that service or transaction.

Website descriptions, mockups, illustrations, screenshots, demonstrations, roadmaps, or discussions may describe current, planned, or developing functionality.
Unless expressly agreed in writing, they do not create a binding obligation to deliver a specific future feature.
8. Artificial Intelligence and Automated Processing
PayablesCentral may use OCR, automated extraction, artificial intelligence, or related technologies to assist with document processing or workflows.
Automated results may contain errors.
Users are responsible for reviewing information where appropriate before relying on it for:
accounting
payment
financial reporting
compliance
grant reporting
decision-making
other material business purposes
9. Founding Access
PayablesCentral may offer Founding Access or other pre-launch opportunities.
Submission of a Founding Access application:
does not guarantee acceptance;
does not itself provide access to the PayablesCentral application;
does not guarantee pricing;
does not guarantee specific benefits;
does not guarantee launch timing;
does not obligate either party to enter into a subscription.
PayablesCentral may establish application, reservation, enrollment, payment, or other participation requirements.
Any applicable requirements will be communicated as part of the relevant offer.
10. Subscriptions and Payments
PayablesCentral may offer annual subscriptions or other pricing arrangements.
Applicable pricing, included users, volume limits, modules, features, implementation requirements, and payment terms may be described in an order, proposal, checkout, invoice, or subscription agreement.
Unless otherwise stated:
fees are due according to the applicable payment terms;
additional services or usage may require additional fees;
taxes may apply;
third-party payment processors may process transactions.
PayablesCentral may suspend or limit services for overdue amounts where permitted by applicable agreements and law.
11. Professional Services
PayablesCentral may offer process optimization, advisory, implementation, onboarding, or other professional services.
The scope, timing, deliverables, fees, and responsibilities for professional services may be described in:
a proposal;
statement of work;
invoice;
confirmation;
order;
other written agreement.
Website descriptions alone do not create a professional-services engagement.
12. Referral Partner Program
PayablesCentral may offer a Referral Partner Program.
Participation is subject to approval.
Referral Partners are independent participants and are not PayablesCentral employees, agents, representatives, legal partners, or joint venturers.
Referral Attribution
Approved Referral Partners may receive a unique referral link or other tracking method.
Referral attribution may be administered through FirstPromoter or another provider.
PayablesCentral may resolve duplicate, disputed, incomplete, or conflicting referral claims.
Qualifying Referrals
Unless otherwise stated, a referral commission is earned only after:
the prospective customer is properly attributed;
required enrollment is completed;
the customer purchases a qualifying subscription; and
qualifying payment has cleared and any applicable verification period has passed.
An inquiry, application, demonstration, meeting, reservation, or preliminary commitment does not itself generate a commission unless expressly stated.
Commission Structure
Commission amounts may vary by:
customer plan;
promotion;
Founding Access offer;
referral category;
partner type;
other communicated program terms.
Unless expressly stated otherwise, commissions are one-time payments for qualifying customer enrollments and do not automatically recur on renewals, upgrades, or subsequent purchases.
Partner-to-Partner Referrals
A Referral Partner may introduce PayablesCentral to another organization, including a CPA firm, audit firm, management organization, consultant, advisor, or service provider.
If that organization subsequently refers customers who complete qualifying enrollments, the applicable referral commission may be shared between the original Referral Partner and the directly referring organization.
The applicable allocation and eligibility rules will be determined by PayablesCentral for the relevant opportunity.
Referral Conduct
Referral Partners may not:
make false or misleading claims;
guarantee PayablesCentral pricing, results, functionality, savings, acceptance, or launch timing;
bind PayablesCentral contractually;
impersonate PayablesCentral;
engage in deceptive or unlawful marketing;
misuse PayablesCentral trademarks or branding.
Referral Partners are responsible for any legally or professionally required disclosure of compensation or conflicts of interest.
Commission Reversals
Commissions may be withheld, reversed, or offset if a transaction is refunded, reversed, charged back, fraudulent, invalid, or otherwise fails to satisfy referral requirements.
Taxes
Referral Partners are responsible for taxes associated with commissions received.
PayablesCentral may require tax documentation or payment information before issuing commission payments.
13. Sponsorship Program
PayablesCentral may offer sponsorship opportunities associated with:
product launch activities;
events;
webinars;
educational content;
communications;
campaigns;

other PayablesCentral activities.
Sponsor Approval
All sponsorships are subject to approval.
PayablesCentral may decline a sponsorship that is inconsistent with our brand, audience, programs, legal obligations, or business interests.
Sponsorship Benefits
Benefits may include:
sponsor recognition
logo placement
links
promotional visibility
event or program recognition
participation opportunities
educational or communication placements
other expressly identified benefits
Only benefits expressly included in the sponsorship offer are guaranteed.
Sponsor Materials
Sponsors may provide logos, names, links, descriptions, graphics, or other promotional materials.
Sponsors represent that they have the rights necessary for PayablesCentral to use those materials.
The sponsor grants PayablesCentral a limited, nonexclusive license to use those materials as necessary to fulfill the sponsorship.
Sponsor Recognition and Anonymity
Sponsors may choose to be publicly recognized or remain anonymous.
If a sponsor chooses anonymity, PayablesCentral will not publicly display the sponsor’s name, logo, or identifying information in connection with the sponsorship except:
as required by law;
as needed for administration;
with the sponsor’s authorization.
Anonymous sponsorship does not affect eligibility for sponsorship benefits except where a benefit inherently requires public identification or branding.
No Endorsement
Sponsorship does not constitute PayablesCentral’s endorsement, certification, recommendation, or guarantee of a sponsor or its products or services.
Sponsors may not claim or imply PayablesCentral endorsement without written authorization.
No Guaranteed Results
PayablesCentral does not guarantee:
impressions;
leads;
referrals;
sales;
customers;
conversions;
revenue;
website traffic;
audience response;
unless expressly guaranteed in writing.
Cancellation and Refund Policy
Sponsorship fees are generally nonrefundable once PayablesCentral has accepted the sponsorship and begun reserving, preparing, scheduling, or delivering the applicable sponsorship benefits.
If a sponsor cancels before PayablesCentral has begun performing or reserving sponsorship benefits, PayablesCentral may, in its discretion, provide:
a full refund;
a partial refund;
sponsorship credit;
another accommodation.
If PayablesCentral cancels a sponsorship before providing the material sponsorship benefits, PayablesCentral may offer, as appropriate:
a full or partial refund;
sponsorship credit;
replacement benefits;
rescheduling.
If only part of a sponsorship cannot be delivered, any refund or credit may be limited to the affected portion.
No refund is guaranteed for:
benefits already delivered;
sponsor-requested cancellation after performance has begun;
failure by the sponsor to provide required materials on time;
missed opportunities caused by the sponsor;
dissatisfaction with commercial results where agreed benefits were delivered.
Specific sponsorship terms provided in an offer, invoice, checkout, or written agreement will control if they differ from this section.
Sponsors and Referral Partners
Sponsors may separately participate in the Referral Partner Program.
Sponsorship does not automatically create Referral Partner status or commission eligibility.
Sponsorship fees and referral commissions are separate unless expressly agreed otherwise.

Users are responsible for:
protecting credentials;
using appropriate permissions;

20. Suspension and Termination
PayablesCentral may suspend or terminate access to services or programs where reasonably necessary because of:
nonpayment;

unlawful activity;
security concerns;
breach of these Terms;

To the extent permitted by law, you agree to indemnify and hold harmless PayablesCentral LLC and its owners, employees, contractors, and affiliates from claims, damages, liabilities, losses, and expenses arising from:
unlawful use of PayablesCentral;
violation of these Terms;

infringement of third-party rights;
misuse of PayablesCentral intellectual property;
prohibited referral or sponsorship conduct.

25. Electronic Communications
By interacting with PayablesCentral electronically, you consent to receiving electronic communications where permitted by law.
Electronic communications may satisfy legal requirements that communications be in writing.
26. Changes to These Terms
PayablesCentral may update these Terms as our business, products, programs, or legal requirements evolve.
When we update these Terms, we will revise the Last updated date.
Changes generally apply prospectively unless otherwise stated.
27. Governing Law
These Terms are governed by the laws of the State of New Jersey, without regard to conflict-of-laws principles, unless applicable law requires otherwise.

29. Entire Agreement
These Terms, together with the Privacy Policy and any applicable order, checkout terms, proposal, statement of work, subscription agreement, or other written agreement, constitute the applicable agreement governing use of PayablesCentral services.
